These Terms of Service ("Terms") govern your access to and use of the OpusStack platform, website at www.opusstack.ai, and any related services (collectively, the "Service"), operated by OpusStack LLC ("OpusStack," "we," "our," or "us"), a Maryland limited liability company.
By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.
1. Service Description
OpusStack is an artificial intelligence-powered operational intelligence platform designed for commercial real estate operators. The Service helps users organize, analyze, and act on commercial real estate transaction data through AI-extracted insights, document analysis, deal timelines, risk identification, milestone tracking, and related operational tools.
Beta Status: The Service is currently offered as a private beta. Features, functionality, and availability are subject to change. The Service is provided "as-is" during the beta period.
2. Eligibility and Account Registration
2.1 Eligibility
To use the Service, you must:
• Be at least 18 years of age.
• Have the legal authority to enter into a binding agreement.
• If using the Service on behalf of an organization, have the authority to bind that organization to these Terms.
• Not be barred from using the Service under applicable law.
2.2 Account Registration
To access most features, you must create an account by providing accurate and complete information. You are responsible for:
• Maintaining the confidentiality of your account credentials.
• All activities that occur under your account.
• Promptly notifying us of any unauthorized access or security breach.
We reserve the right to suspend or terminate accounts that violate these Terms or pose security or legal risks.
3. Pricing and Payment
Beta period: The Service is currently free during the private beta. Pricing for general availability will be communicated to users in advance of any charges.
If and when paid plans are introduced, additional terms regarding billing, subscription, refunds, and cancellation will be provided. Continued use after pricing introduction will require acceptance of those terms.
4. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You will not:
• Violate any applicable law, regulation, or third-party rights.
• Upload, transmit, or distribute any content that is illegal, harmful, fraudulent, defamatory, or infringes intellectual property rights.
• Use the Service to send unsolicited communications, spam, or marketing messages.
• Attempt to gain unauthorized access to the Service, other users' accounts, or our systems.
• Reverse engineer, decompile, disassemble, or attempt to extract source code from the Service.
• Use the Service to compete with OpusStack or to build a similar or competitive product.
• Use automated tools, bots, or scrapers to access or use the Service without our written permission.
• Interfere with, disrupt, or impose unreasonable load on the Service or its infrastructure.
• Misrepresent your identity or affiliation with any person or organization.
• Upload malware, viruses, or any code intended to damage or disrupt systems.
Violation of these provisions may result in immediate suspension or termination of your account.
5. User Content
5.1 Your Content
You retain all ownership rights in the documents, data, and other materials you upload or input into the Service ("User Content"). By using the Service, you grant OpusStack a limited, non-exclusive, royalty-free license to access, process, store, and display your User Content solely for the purpose of providing the Service to you.
5.2 Responsibility for User Content
You represent and warrant that:
• You have all necessary rights to upload your User Content to the Service.
• Your User Content does not violate any law or infringe any third-party rights.
• Your User Content is accurate and not misleading.
• You have obtained any necessary consents from third parties whose information is contained in your User Content (e.g., counterparties, contacts).
5.3 No Training on Your Content
OpusStack does not use your User Content to train our AI models or any third-party AI models. Your content is processed solely to deliver insights to you.
6. SMS Communications
If you opt in to SMS notifications, the following terms apply:
• SMS opt-in is optional. You may use the Service without consenting to SMS communications.
• All messages we send are transactional (deal alerts, milestone updates, AI insights, account notifications). We do not send marketing SMS without separate consent.
• You may opt out at any time by replying STOP to any message, or by disabling SMS in your account Settings.
• OpusStack does not charge for SMS messages, but message and data rates may apply from your mobile carrier.
• Typical message frequency is 8–15 messages per user per month, varying based on activity.

7. AI-Generated Content and Disclaimers
AI outputs are informational only. OpusStack uses artificial intelligence to generate summaries, risk assessments, data extractions, and operational insights. These outputs are provided for informational and operational reference purposes only and do not constitute:
• Legal advice.
• Financial, accounting, or tax advice.
• Real estate brokerage or appraisal services.
• Investment recommendations.
• Professional advice of any kind.
You are solely responsible for verifying the accuracy and applicability of AI-generated content before relying on it for any decision. AI systems can produce errors, hallucinations, or incomplete information. You should consult qualified professionals (attorneys, accountants, brokers, appraisers, advisors) for matters that warrant professional judgment.
OpusStack is not a substitute for licensed professional services and is not a real estate broker, attorney, accountant, financial advisor, or investment advisor.
8. Intellectual Property
8.1 OpusStack Property
The Service, including all software, designs, text, graphics, logos, trademarks, and underlying technology, is owned by OpusStack LLC or its licensors and is protected by United States and international intellectual property laws. You receive no ownership rights in the Service by using it.
8.2 Limited License
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.
8.3 Feedback
If you provide feedback, suggestions, or ideas about the Service, you grant OpusStack an unlimited, perpetual, irrevocable, royalty-free license to use that feedback without obligation to you.
9. Third-Party Services and Integrations
The Service may integrate with third-party services (such as Gmail, Google Calendar, and other providers). Your use of those third-party services is governed by their own terms and privacy policies, not by these Terms. OpusStack is not responsible for third-party services, their availability, or their treatment of your data once shared with them at your direction.
10. Privacy
Our collection, use, and disclosure of your information is governed by our Privacy Policy, available at www.opusstack.ai/privacy, which is incorporated by reference into these Terms.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OPUSSTACK DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
• Warranties arising from course of dealing or course of performance.
• Warranties that the Service will be uninterrupted, error-free, secure, or free from harmful components.
• Warranties regarding the accuracy, reliability, or completeness of any AI-generated content or other information provided by the Service.
You use the Service at your own risk. No advice or information obtained from the Service creates any warranty not expressly stated in these Terms.
12. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, OPUSSTACK LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:
• Loss of profits, revenue, business opportunities, or anticipated savings.
• Loss of data or goodwill.
• Costs of substitute services.
• Damages arising from reliance on AI-generated content or insights.
• Damages arising from third-party services or integrations.
OpusStack's total aggregate liability for any claims arising out of or relating to the Service or these Terms shall not exceed the greater of (a) the amount you paid to OpusStack in the twelve (12) months preceding the claim, or (b) one hundred dollars ($100).
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
13. Indemnification
You agree to indemnify, defend, and hold harmless OpusStack LLC and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:
• Your use of or access to the Service.
• Your violation of these Terms.
• Your User Content, including any claim that your User Content infringes the rights of any third party.
• Your violation of any applicable law or regulation.
• Your reliance on AI-generated content or insights for business decisions.
14. Termination
14.1 By You
You may terminate your account at any time by contacting us at support@opusstack.ai or by using the account deletion feature, if available.
14.2 By Us
We may suspend or terminate your access to the Service at any time, with or without cause or notice, including for:
• Violation of these Terms.
• Suspected fraudulent, abusive, or illegal activity.
• Extended periods of inactivity.
• Discontinuation of the Service.
• Legal or regulatory requirements.
14.3 Effect of Termination
Upon termination, your right to access the Service ends immediately. Provisions that by their nature should survive termination (including ownership, warranty disclaimers, indemnification, and limitations of liability) shall survive.
Your data will be handled in accordance with our Privacy Policy, including the data retention provisions therein.
15. Modifications to the Service and Terms
15.1 Service Changes
We may modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We are not liable to you or any third party for such modifications.
15.2 Terms Changes
We may update these Terms from time to time. Material changes will be communicated by updating the "Last Updated" date and, where appropriate, by email or in-app notification. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
16. Governing Law and Dispute Resolution
16.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Maryland, without regard to its conflict-of-laws principles.
16.2 Jurisdiction
Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in Frederick County, Maryland, and you consent to the personal jurisdiction and venue of those courts.
16.3 Informal Resolution
Before initiating formal legal proceedings, you agree to first contact us at support@opusstack.ai to attempt to resolve the dispute informally. We will respond within a reasonable time.
17. General Provisions
17.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and OpusStack regarding the Service and supersede any prior agreements.
17.2 Severability
If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.
17.3 No Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
17.4 Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.
17.5 Force Majeure
Neither party will be liable for failure to perform due to causes beyond reasonable control, including natural disasters, war, terrorism, civil unrest, government action, labor disputes, or internet/utility failures.
17.6 Relationship of Parties
These Terms do not create any partnership, joint venture, employment, or agency relationship between you and OpusStack.

Section headings in these Terms are for convenience only and have no legal effect.
